1. Agreement and operator
These Terms of Use are an agreement between you and ProNearMe, a Canadian local-services marketplace operating under Business Number 772051959 ("ProNearMe," "we," "us," or "our"). By creating an account or otherwise indicating acceptance, you agree to these terms and the policies linked below. If you do not agree, do not create an account or use account-only features.

2. Eligibility and accounts
You must have reached the age of majority where you live and be legally able to enter this agreement. Each account is personal, non-transferable, and for the approved account holder or business operator. Account information must be truthful and current. You are responsible for protecting credentials and verification codes and must promptly report suspected unauthorized access. You may not share, rent, sell, sublicense, pool, or permit another person to operate your account, or create accounts to evade a restriction, subscription rule, or device limit.
3. What ProNearMe provides
ProNearMe provides technology for posting jobs, discovering and matching provider profiles, expressing interest, hiring, sharing contact preferences, managing projects, subscriptions, notifications, reviews, and support. Unless we expressly state otherwise, ProNearMe is not the service provider, employer, contractor, agent, insurer, or guarantor of a seeker or provider.
Matching and ranking may consider information such as service category, service location, availability, profile completeness, ratings, and marketplace activity. A match is not an endorsement, guarantee, background check, or promise of availability.
4. Service seekers
Seekers must provide accurate job descriptions, locations, budgets, timing, property conditions, and material safety information. Seekers are responsible for selecting a provider, agreeing on scope and price, providing safe access, and paying the provider as agreed. Do not post unlawful, discriminatory, deceptive, dangerous, or fake requests.
5. Service providers
Providers act as independent businesses or individuals and are responsible for their qualifications, licences, permits, insurance, taxes, workers, tools, transportation, quotations, warranties, safety practices, and legal compliance. Providers must accurately describe credentials, availability, service areas, prices, and experience. A "verified" label means only the checks specifically described in the product; it is not a guarantee of identity, competence, insurance, or work quality.
6. Jobs, hiring, contact, and payment for work
A provider's expression of interest and a seeker's hire action do not by themselves define the full service contract. The seeker and provider are responsible for confirming scope, timing, price, taxes, cancellation terms, and payment method. Unless a checkout screen expressly says otherwise, payment for work is arranged directly between the seeker and provider and is not held, processed, or guaranteed by ProNearMe. Do not send passwords, verification codes, government identification, or full card information through job descriptions, profile fields, or support communications.
7. Provider subscription
Provider access requires an active paid recurring subscription. The current price, billing interval, applicable taxes, first payment, renewal date, and total due are shown before confirmation in Stripe Checkout. Prices displayed before taxes must remain attainable except for charges permitted by law.
- There is no free trial. Stripe collects the first subscription payment when you approve Checkout.
- Provider marketplace access begins only after Stripe and the ProNearMe backend confirm the subscription is active.
- You can cancel through the subscription-management portal or contact support. Cancellation during a paid period normally takes effect at the end of that period.
- Fees already paid are not prorated or refunded unless the checkout offer says otherwise or applicable law requires it.
A provider subscription is licensed only to the approved provider account and its authorized human operator. It may not be shared across unrelated workers, rented, resold, pooled, or used to operate a job-booking service for other people. ProNearMe may limit active provider devices or sessions, revoke older sessions, and temporarily restrict protected provider actions while suspected sharing is reviewed.
The provider mobile app may require a front-camera selfie identity check. After an approved check, the standard cadence is normally one challenge per 48-hour period while the provider uses protected provider actions. A challenge may occur earlier after a device-replacement approval, account recovery or identity reset, a failed, rejected, abandoned, or expired check, an app-integrity failure, or a documented safety or fraud concern. This routine does not apply to seeker job-posting actions. Existing providers receive the same just-in-time notice and express-consent step before their first capture.
The current workflow uses authorized human reviewers as part of a manual review and does not perform automated facial recognition, face matching, or liveness analysis. A rejected, expired, or incomplete check may pause protected provider actions, but it will not by itself create a permanent ban. The provider may retry where offered, ask for further review, appeal the decision, explain a legitimate device replacement, or request an appropriate accessibility or account-recovery path through support. The collection, review, and retention of selfie information are described in our Privacy Policy.
We may change future prices or plan features with advance notice required by law; a change will not retroactively alter a completed billing period.
8. Cancellations and refunds for provider work
Providers and seekers should agree on cancellation, deposit, rescheduling, and refund terms before work begins. ProNearMe does not set those terms unless a specific product screen expressly says so. Statutory cancellation, refund, chargeback, and other consumer rights continue to apply.
9. Reviews and marketplace integrity
Reviews must reflect a genuine experience and must not be fabricated, bought, coerced, retaliatory, discriminatory, defamatory, or misleading. Any material incentive or relationship must be clearly disclosed. We may investigate, label, limit, or remove reviews and related accounts to protect marketplace integrity.
10. User content and privacy
You keep ownership of content you upload. You give ProNearMe a non-exclusive, worldwide, royalty-free licence to host, copy, process, adapt for technical display, and show that content only as reasonably needed to operate, secure, moderate, and improve the marketplace in accordance with your visibility choices and our Privacy Policy. Private job or support content is not licensed for unrelated advertising. You confirm you have the necessary rights and permissions for content you submit, including information about another person.
11. Acceptable use
You must not scam, harass, threaten, discriminate, impersonate, scrape, spam, manipulate reviews, post malware, test security without written permission, bypass access or subscription controls, misuse another person's information, or use ProNearMe for unlawful or unsafe services. You must not copy the service or use automated access that unreasonably burdens or damages it.
12. Safety, moderation, and account action
Users are responsible for evaluating a job, worksite, and person before meeting or starting work. See our Safety Standards. We may use device-grant, app-integrity, account, subscription, marketplace, report, and human-review records to detect abuse; request account, device, or provider-selfie re-verification; revoke sessions; restrict features; remove content; suspend or terminate accounts; preserve evidence; or report conduct where reasonably necessary. A Face ID, Touch ID, fingerprint, face-unlock, or device-passcode prompt is performed by the device operating system and is distinct from a provider selfie identity check. Neither control is proof that ProNearMe guarantees the person's civil identity. Where appropriate, users may ask support to review or appeal an enforcement decision or obtain an alternative account-recovery method.
13. Communications
We may send transactional messages needed to operate your account, such as verification, security, job, hire, subscription, payment, and safety notices. Marketing messages are subject to separate consent and unsubscribe rights where required. Customer-care text messages are governed by our SMS Support Terms.
14. Third-party services
Authentication, hosting, maps, payments, communications, and linked sites may be provided by third parties such as Google/Firebase, Stripe, Twilio, or other vendors. Their products are governed by their own terms. We remain responsible for our handling of personal information as described in the Privacy Policy, but we do not control independent third-party products or user-to-user payment arrangements.
15. Intellectual property
ProNearMe's software, branding, layout, and original content are owned by or licensed to ProNearMe. These terms give you a limited, revocable, non-transferable right to use the service for its intended purpose. They do not transfer any ownership rights.
16. Availability and disclaimers
We aim to provide a reliable marketplace, but the service may be interrupted or contain errors. To the extent permitted by law, ProNearMe is provided "as is" and "as available." We do not guarantee a provider, seeker, job, result, price, response, background check, job completion, or uninterrupted access. ProNearMe is not an emergency service.
17. Responsibility and limits
Users remain responsible for their own conduct, jobs, services, contracts, property, and payments. To the maximum extent permitted by law, ProNearMe is not liable for indirect, special, incidental, punitive, or consequential loss arising from the marketplace or a user-to-user dispute. These limits do not apply to liability that cannot lawfully be excluded, including applicable statutory consumer rights. Nothing here excludes liability through language that is prohibited by law.
18. Suspension, termination, and survival
You may stop using ProNearMe and request account closure. We may suspend or terminate access for a material breach, fraud, safety risk, legal requirement, non-payment, or misuse. We will provide notice where reasonable and legally required. Provisions that by their nature should continue—including payment obligations, ownership, dispute, and lawful record-retention terms—survive closure.
19. Changes to these terms
We may update these terms prospectively. For a material change, we will provide reasonable notice in the service, by email, or another appropriate method and request renewed acceptance where required. The effective date and version appear above. Changes to recurring subscription terms will be disclosed in accordance with applicable law.
20. Governing law and disputes
These terms are governed by the laws of Ontario and the applicable federal laws of Canada, without depriving a consumer of mandatory protections in the province or territory where they live. Before filing a claim, contact support so we can try to resolve the issue. Nothing in these terms requires arbitration or prevents a consumer from using a court, regulator, or statutory complaint process available to them.
21. General
If a provision is unenforceable, it will be limited only as much as necessary and the remaining provisions continue. A delay in enforcement is not a waiver. You may not assign this agreement without our consent; we may assign it as part of a lawful business transfer with notice where required. The English version governs unless applicable law requires otherwise.
